These Terms and Conditions (“Terms”) outline the rules and regulations for the use of the services provided by Carelencia Healthcare Pvt. Ltd. (“Company”, “we”, “our”, or “WEDO”), operating under the brand name WEDO through its online platform.

These T&Cs apply to all users of the WEDO platform including buyers (B2C), suppliers (B2B), and advertisers.

WEDO is a healthtech marketplace for medical equipment sales and rentals and doctor consultations. By using the platform, you agree to abide by these terms.

1. Eligibility

• Users must be 18 years or older to transact.

2. Orders, Rentals & Payments (Buyers) / B2C - Customers

• Prices include applicable GST.
• Rentals are time-bound and non-transferable.
• Refund/Return subject to/as per Refund Policy.
• Use equipment responsibly; consult doctors where necessary.
• No liability for misuse, late returns or physical damage.
• WEDO acts as a facilitator, not a manufacturer

3. Supplier Listings

• Suppliers must upload valid KYC (PAN/GST).
• You must affirm product authenticity and licensing.
• You agree to WEDO using your product images/info for promotion.
• Only genuine, compliant products may be listed.
• Listing subject to approval and compliance with platform norms.
• Commission terms apply; GST compliance mandatory.

4. Advertiser Terms

• You retain rights to your content but grant WEDO permission to display it.
• WEDO reserves right to remove objectionable/false/illegal material/content.
• Refund only applicable for unconfirmed slots.
• No refunds post slot booking unless explicitly agreed.

5. User Responsibilities

• Provide accurate information.
• Use the platform lawfully and ethically.
• Report misuse, damages, or inconsistencies.

6. IP Ownership & Legal Disclaimer

• All platform content is IP protected and owned by WEDO.
• WEDO is a listing platform, not a seller or manufacturer.

7. Limitation of Liability (applies to indirect damages)

• We are not liable for third-party content, delivery delays, or misuse by users.

8. Indemnification
You agree to indemnify, defend, and hold harmless Carelencia Healthcare Pvt. Ltd. (WEDO), its directors, officers, employees, and affiliates from and against any and all claims, damages, liabilities, losses, costs, or expenses (including legal fees) arising out of:

• Your use of the platform in violation of these Terms;
• Any breach of applicable laws or third-party rights (including intellectual property rights);
• Any misrepresentation, negligence, or misconduct by you.

9. Jurisdiction

• Governed by the laws of India.
• Disputes subject to Sonipat, Haryana jurisdiction.

10. Dispute Resolution & Mediation

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding its existence, validity, interpretation, breach, or termination, the Parties agree to first attempt to resolve the dispute amicably through direct negotiations.

If such negotiations do not resolve the matter within thirty (30) days, the Parties shall submit the dispute to mandatory mediation. The mediation shall be conducted in good faith and led by the legal representatives of both Parties, with the involvement of a mutually agreed independent mediator, if required.

The mediation proceedings shall be held at Sonipat, Haryana, or any other venue mutually agreed upon in writing, and shall be conducted in the English / Hindi language.

The Parties agree that mediation shall be a condition precedent to the initiation of any legal proceedings. If the dispute remains unresolved after mediation, either Party may proceed to seek remedies as per the jurisdiction clause contained herein.
